These Terms of Use (“Terms”) govern your use of FolioSketch, a software application provided by LBWD Media LLC (“LBWD Media,” “we,” “us,” or “our”).

Please read these Terms before using FolioSketch. By selecting “Agree & Continue,” purchasing or activating a FolioSketch license or subscription, or otherwise using FolioSketch, you agree to these Terms.

If you do not agree to these Terms, select Cancel and do not use FolioSketch.

1. About FolioSketch

FolioSketch is a music-document creation, organization, annotation, viewing, and performance application.

Depending on the version and features available to you, FolioSketch may allow you to create or work with materials including music sketches, PDF documents, ChordPro documents, set lists, annotations, templates, images, FolioSketch document formats, and other supported files.

FolioSketch is a tool for working with content. LBWD Media does not provide a public music library, music-sharing community, music-distribution service, or music-licensing service.

2. License to Use FolioSketch

Subject to these Terms and any applicable purchase, subscription, or license conditions, LBWD Media grants you a limited, non-exclusive, non-transferable, revocable license to install and use FolioSketch for its intended purposes.

You may not copy, modify, reverse engineer, decompile, redistribute, sell, sublicense, or commercially exploit FolioSketch except where expressly permitted by applicable law or by LBWD Media in writing.

These Terms do not transfer ownership of FolioSketch or any LBWD Media intellectual property to you.

3. Your Music and Other Content

You retain ownership of content that you create or import into FolioSketch.

LBWD Media does not claim ownership of your music, arrangements, annotations, PDFs, ChordPro files, set lists, notes, images, or other user-provided content merely because you use that content with FolioSketch.

You are responsible for the content you create, import, copy, annotate, export, share, print, display, or otherwise use through FolioSketch.

4. Copyright and Music Rights

FolioSketch may allow you to import, display, annotate, organize, print, export, or share music and other copyrighted materials.

The ability of FolioSketch to perform an action does not mean that you have the legal right to perform that action with a particular work.

You are responsible for ensuring that you have all permissions, licenses, ownership rights, or other legal authority necessary for the content you use.

For example, owning a printed score, purchasing a PDF, receiving sheet music from another person, or having technical access to a file does not necessarily grant permission to copy, redistribute, modify, publicly perform, or share that material.

LBWD Media does not grant licenses to third-party music, lyrics, compositions, arrangements, recordings, images, or other copyrighted works.

5. Importing and Exporting Files

FolioSketch may support importing and exporting formats such as PDF, ChordPro-compatible formats, images, FolioSketch files, Shared Sets, templates, backups, and other supported formats.

You are responsible for determining whether you have the right to import, export, reproduce, or distribute the content contained in those files.

FolioSketch's ability to open or create a file format does not imply endorsement by, affiliation with, or authorization from the owner of that format or the content contained within it.

6. FolioSketch Files and Shared Sets

FolioSketch may create proprietary or FolioSketch-specific file formats, including files used for music books, sketches, templates, backups, and Shared Sets.

These formats may contain or reference user-created material as well as content originally imported by the user.

You are responsible for determining whether you are legally permitted to distribute the contents of any exported FolioSketch file.

In particular, creating a Shared Set or another FolioSketch package does not grant you permission to redistribute copyrighted music contained within it.

LBWD Media does not operate a repository, catalog, marketplace, server, or distribution system for exchanging these files. Users who choose to distribute FolioSketch files do so through their own chosen methods and services and are responsible for that distribution.

7. ChordPro and Similar Content

FolioSketch may allow you to create, import, edit, display, transpose, annotate, print, or export ChordPro-compatible documents.

You are responsible for the lyrics, chords, arrangements, metadata, and other content contained in those documents.

FolioSketch's support for ChordPro-compatible files does not grant rights to copyrighted lyrics, compositions, arrangements, or other material contained in those files.

8. Storage and Third-Party Services

FolioSketch may allow you to select files or folders located on your device or through storage providers made available by your operating system.

These may include local device storage, removable storage, or third-party services such as cloud-storage providers.

Third-party services are operated independently of LBWD Media and are governed by their own terms, privacy policies, availability, security practices, and limitations.

LBWD Media is not responsible for the operation, availability, security, synchronization, pricing, or data-retention practices of third-party storage providers.

Use of a third-party provider through your device does not create a partnership between that provider and LBWD Media.

9. Backups and Data Loss

FolioSketch may provide backup, export, synchronization, or recovery features. These features are intended to assist you but are not a guarantee against data loss.

You are responsible for maintaining appropriate backups of important music, documents, annotations, set lists, and other content.

Hardware failure, operating-system changes, storage-provider problems, file corruption, accidental deletion, software defects, interrupted transfers, or other events may result in data loss.

To the fullest extent permitted by law, LBWD Media is not responsible for loss of user content that could reasonably have been protected through appropriate backups.

10. Purchases, Subscriptions, Trials, and Features

Some FolioSketch features may require a purchase, subscription, paid tier, or trial.

Prices, available features, subscription periods, and trial conditions will be disclosed through FolioSketch or the applicable application marketplace at the time of purchase.

Purchases and subscriptions processed through an application marketplace, such as Google Play or Apple's App Store, are also subject to that marketplace's applicable payment, renewal, cancellation, and refund rules.

Features included in particular FolioSketch editions or subscription tiers may change over time as the application develops, subject to applicable law and any commitments made at the time of purchase.

11. Updates

LBWD Media may release updates to FolioSketch to add features, correct defects, improve compatibility, address security issues, or make other changes.

Certain updates may be necessary for FolioSketch to continue functioning with newer operating systems, devices, file formats, or third-party services.

We cannot guarantee that every FolioSketch feature will remain compatible indefinitely with every device, operating-system version, external file format, or third-party service.

12. Acceptable Use

You agree not to use FolioSketch to:

violate applicable law;
knowingly infringe another person's intellectual-property rights;
distribute content that you do not have the right to distribute;
circumvent security or access controls;
interfere with or damage FolioSketch or related services;
misrepresent your rights in content; or
use FolioSketch for unlawful or fraudulent activity.

13. Third-Party Software and Open-Source Components

FolioSketch may include or depend upon third-party or open-source software.

Those components may be governed by their own licenses and notices.

Where required, applicable third-party and open-source notices will be made available within FolioSketch or accompanying documentation.

Nothing in these Terms is intended to restrict rights granted to you directly under an applicable open-source license.

14. No Professional or Legal Advice

FolioSketch is a software tool.

Information provided by FolioSketch or LBWD Media concerning file compatibility, copyright considerations, workflows, storage, or similar matters is provided for general informational purposes and does not constitute legal, accounting, tax, or other professional advice.

If you are uncertain whether you have permission to copy, arrange, perform, distribute, or otherwise use a musical work, you should obtain appropriate professional advice or permission from the applicable rights holder.

15. Application Availability

We aim to make FolioSketch reliable, but we do not guarantee that the application will always operate without interruption, defects, errors, or compatibility problems.

Features may occasionally be unavailable due to software defects, operating-system behavior, device limitations, maintenance, third-party dependencies, or circumstances outside our control.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, FolioSketch is provided “as is” and “as available.”

LBWD Media disclaims warranties that are not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by law.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the fullest extent permitted by applicable law, LBWD Media will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of FolioSketch.

This includes, where legally permitted, loss of data, loss of content, loss of revenue, loss of business opportunity, interruption of a performance or rehearsal, or inability to access files.

LBWD Media's total liability arising from or relating to FolioSketch will not exceed the greater of the amount you paid to LBWD Media for FolioSketch during the twelve months preceding the event giving rise to the claim or the minimum amount required by applicable law.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the extent permitted by law.

18. Termination

You may stop using FolioSketch at any time.

LBWD Media may suspend or terminate rights granted under these Terms where permitted by law if you materially violate these Terms.

Termination does not transfer ownership of your user-created content to LBWD Media.

19. Changes to These Terms

We may revise these Terms as FolioSketch changes or as legal or business requirements evolve.

When a change requires renewed acceptance, FolioSketch may present the updated Terms and require you to select Agree & Continue before continuing to use the application.

The Terms presented to you will identify their version and last-updated date.

Your previous acceptance of an earlier version does not constitute acceptance of a later version when FolioSketch specifically requests renewed consent.

20. Privacy

Your use of FolioSketch is also subject to the FolioSketch Privacy Policy.

The Privacy Policy describes how information associated with FolioSketch is handled and should be reviewed separately from these Terms.

21. Google Play and Other Application Marketplaces

If you obtained FolioSketch through Google Play, Apple's App Store, or another application marketplace, your use may also be subject to the applicable marketplace's terms.

The marketplace provider is not responsible for user content created or imported into FolioSketch except to the extent required under its own terms or applicable law.

22. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Nothing in these Terms deprives you of mandatory consumer rights provided by the laws applicable to you.

23. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

24. Entire Agreement

These Terms, together with the FolioSketch Privacy Policy and any additional terms expressly presented in connection with a purchase or specific service, constitute the agreement between you and LBWD Media regarding your use of FolioSketch.
